* Basic modification examples: address changes, photo updates, text changes. Major modification example: revamping all the website, revamping or creating web pages. RGX has final decision on determining Basic or Major modifications. PLAN POLICY & DISCLAIMER: COPYWRITE: By
posting or submitting content to RichGraphx (RGX) you grant RGX right
to use, reproduce, display, adapt, modify, distribute, have
distributed, the content for the purpose of modifications in your Web
Maintenance Plan; and warrant and represent that you own or otherwise
control all of the rights to the content and that public posting and
use of your content to advance, promote and have RGX modify the
submitted content, will not infringe or violate the rights of any third
party.
You
acknowledge and agree that RGX shall not be responsible or liable,
directly or indirectly, for any damage or loss caused or alleged to be
caused by or in connection with use of or reliance on any such
content, or services available on or through any such site or
resource from the web or your FTP server.
RGX
may provide, or third parties may provide, links to other World Wide
Web sites, programming, codes, scripts, and other resources to make
your site functional. Because RGX has no control over such sites and
resources, you acknowledge and agree that RGX is not responsible for
the availability of such external sites or resources, and does not
endorse and is not responsible or liable for any content, advertising,
products, or other materials on or available from such sites or
resources.
ACCESS: You
will provide RGX access to your web Server and agree to let RGX make
modifications and alterations as directed by you or your
representative. You will let your Service Provider (ISP) know
that you are authorizing RGX to access your site. You will let any
other company associated with your website know that RGX is authorize
to work and modify your site. RGX will not give out access information,
log in passwords, or any access information that logs into your FTP,
Server or online content. Interested individuals must request access
information from you.
ARCHIVE AND SAVING YOUR WEB CONTENT: It
is your responsibility to archive and make back-up of your web files.
RGX is not liable or responsible for Archiving and backing up your
website and all its content. (Please don't have your graphic artist,
designer, IT or web personnel ask RGX for your web content, they will
need to access it from your site).
E-MAIL MARKETING: If
your plan includes the e-mail marketing, you have to provide final text
copy, photos, email lists, to RGX in order to post and send the
final email blast. And access to your email servicer. (Constant
Contact, i Contact, etc...)
APPROVALS: All requested update and changes that you send RGX, will need a final approval before it goes live on the world wide web.
PAYMENTS: All invoices are due when presented. Invoices will be emailed usually on the 1st of the month. POLICY CONTINUATION: This
policy will be in continuation for each request made to RGX and is not
just for a single order. Cancellation can be sumbitted via email or
snail mail and will take effect the following month.
ATTORNEY'S FEES AND COST: In
the event of any legal action or litigation arising out of transaction
referred to herein, the prevailing party shall be entitled to
reasonable attorney's fees and costs.
RGX has several ongoing web maintenance accounts and have not had any issues or problems related to our products or services. But we are obligated to state the following: ANY MATERIAL DOWNLOADED OR OTHERWISE OBTAINED THROUGH THE USE OF RICHGRAPHX SERVICES IS DONE AT YOUR SOLE RISK AND YOU WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR COMPUTER SYSTEM OR LOSS OF DATA THAT RESULTS FROM THE DOWNLOAD/ UPLOAD, TRANSFER OR COPYING OF ANY SUCH MATERIAL. THIS INCLUDES, BUT IS NOT LIMITED TO: FTP, E-MAIL AND CD'S. YOU FURTHER AGREE TO LET RGX POST AND TRANSFER INFORMATION TO YOUR WEB SERVER, SOCIAL NETWORK SITE, OR EMAIL MARKETING PROVIDER TO UPDATE AND MAKE CHANGES TO THEM WITHOUT HOLDING RGX LIABLE FOR SUCH CONTENT OR CHANGES. Copyright information and web graphicsYou acknowledge that RichGraphx contains information, software, photos, video, text, graphics, music, sounds or other material that are protected by copyrights, patents, trademarks, or other proprietary rights, and that these rights are valid and protected in all forms, media and technologies existing now or here after developed. All Content is copyrighted as a collective work under the U.S. copyright laws, and RichGraphx owns a copyright in the selection, coordination, arrangement and enhancement of such Content. RichGraphx’s partners may also have additional proprietary rights in the content which they make available through RichGraphx service. You may not modify, publish, print, transmit, participate in the transfer or sale, create derivative works, or in any way exploit, any of the Content, in whole or in part, from RichGraphx, except that you may download proofs sent to you for your review and approval. Modification of Proofs or Final Creative art or any content on this web site by any unauthorized person(s) for any purpose, including for prepress or printing work is strictly prohibited. ProofsYou will be sent a "Look and Feel" concept design. The concept design is used as a starting point for your project and can look different than the comp or final proof. After that, you can receive up to 5 Comp Proofs with any changes or corrections you request. (Additional changes after the 5th Comp Proof will be added to the total cost.) Then you will get a Final Proof for approval.Your are responsible for supplying copy for your design, either in digital or hard copy format. You are also responsible for proofing and approving the spelling and grammar. Approval is needed on the Final Proof before Final Creative is released.Final CreativeRichGraphx will provide a Digital copy that you can use as The Final Creative. This copy can be used to send to the prepress service bureau/ printing Co. The prepress/print Co. will not use this file to make modifications or alterations and print additional runs. The file must be deleted from any storage, transfer, archive or computer hard drive device, once the job has printed and is completed. All CDs (or other transfer media), with the digital files must be returned to RichGraphx. RichGraphx allows additional print runs without modifications only. If future changes are needed, RichGraphx will make them and then send the file to the printer. If you want the printer to make future modifications, you will need to buy the original digital file.** **RichGraphx charges you for “Services” either per hour or per project. "Services" is defined as the creative time spent on your project and items billed that are on your invoice. RichGraphx does not transfer title/ownership of the original digital art created for you, unless prior arrangements have been made which include an additional selling price. Please see below. RichGraphx will sell ownership of original digital files to you at your request and after you have satisfied all payments and signed "Original Digital Art Release forms. * (Does not pertain to Fine Art, Photography, Illustrations or Editorial Drawings) At which, RichGraphx will delete the original digital files from archive. You will have to provide RichGraphx with your original file if you want future alterations to the file you posses. You will have the only digital file available. If you submitted the original digital file again for modifications, RichGraphx will copy the original digital file and you give permission to alter or modify it. RichGraphx can use any design projects to promote the advancement of RichGraphx to include placing samples at www.RichGraphx.com and by placing a small tag line with contact and or design credits on any of your projects. The tag line will be part of the visible finished product. You agree to let RichGraphx decide whether to use your project if even if it was canceled. This would include concept, ideas, roughs etc... ArchiveRichGraphx will hold all work in archive for approximately 1 year. Once the one-year hold has expired, RichGraphx will start deleting files. RichGraphx is not responsible or liable for digital files during this one year period but will do all it reasonably can to protect files. You are responsible for your digital files by buying them after your project has been approved. LinksRichGraphx may provide, or third parties may provide, links to other World Wide Web sites or resources. Because RichGraphx has no control over such sites and resources, you acknowledge and agree that RichGraphx is not responsible for the availability of such external sites or resources, and does not endorse and is not responsible or liable for any content, advertising, products, or other materials on or available from such sites or resources. If the Submission that was sent to RichGraphx is not used, it will be deleted as soon as possible. This includes deletion from all archives and FTP, to include digital and hard copies. Finding a PrePress/Service Bureau or PrinterRichGraphx will try to find a reliable printer/ prepress/ or service bureau, if so requested, but cannot guarantee their service. RichGraphx is not liable for printing quality, print proofs or color matching done by printer, time constraints and deadlines. If RichGraphx finds a printer/ prepress/ or service bureau for you, you will have to make arrangements for the press proofs and for the printing cost with them. RichGraphx does this as a courtesy, all the proofs, press-checks and printing cost are your responsibility, to include applicable taxes and delivery fees. Finding Mail House & DatafilesRichGraphx can recommend several mail houses and datafile companies for your Marketing. Please contact RichGraphx for information. Rejections/Cancellations*Perhaps the final art deviates from the agreed-upon sketch or the style is different from RichGraphx's samples shown to obtain your job. If you are not satisfied with the final art produced by RichGraphx, you will only be charged a "Rejection" fee based on the time spent on the project, Contact RichGraphx for fees. You will return final art to RichGraphx and destroy any copies you may have of the Final Art. You also agree to have RichGraphx use your returned final art, for promoting and advancing RichGraphx. *If a job is canceled for reasons beyond the control of RichGraphx, the project is considered "Killed" and you will be charged for the time spent on the project up to the time the job is canceled. The minimum rate of charge is $80.00 per hour for canceling a job. If a job is on hold for more than a month without contacting RichGraphx, the job will be canceled. A job can be put on hold for: Non-Payments, to include any Returned Checks for insufficient Funds.*** Not responding to proofs sent. ***If a check is returned for insufficient funds, future payments must be made in cash or by credit card and all bank fees will be added to the billing. PaymentsPlease make all payments using a credit card or by sending a check made out to RichGraphx at the address listed on the Contact Page. All jobs require a 50% deposit. The balance to be paid prior to delivering of final art.
